thanks for the helpful material! As luck would have it the digital mediavalist list had called for votes on an amendment to its byelaws just as I was finishing the proposal (http://digitalmedievalist.wordpress.com/2014/06/04/dm-byelaws-vote/). A couple of changes I included were inspired by these. And I fully agree with Perry, that we should try to formalize our "constitution" in a similar way.

Of course we're not creating a corporation yet, but I found some aspects of the TEI and ISMIR by-laws to be instructive. So, I've attached copies of those documents with the good parts (IMHO) highlighted.
Since they're legal documents, they are more formal than we need at present, but there are still some things it might be beneficial to emulate in the MEI "constitution" (for want of a better word), such as the organization into clearly-defined articles. In addition, some issues are covered that we haven't yet addressed, such as resignation and/or removal of officers and the process for amending the document itself.
I'm not advocating for any of the particulars expressed in these documents, not even the so-called "good parts", only the general structure and, in some cases, the language employed.
